Terms of Service for the Yalla Kuwait – Kuwait Local Guide Directory between DTS (“DIGITAL TECH STACK and the website’s user (“You” or “Your”) 

The Terms of Use for the Yalla Kuwait – Kuwait Local Guide Directory (Agreement) regulate Your use of the Yalla Kuwait – Kuwait Local Guide Directory (https://yallakuwait.com) and form a legally enforceable agreement between DTS and You in connection to Your use of the Yalla Kuwait – Kuwait Local Guide Directory

Before using the Yalla Kuwait – Kuwait Local Guide Directory, please read the entire Agreement carefully. Please contact us if you have any questions before agreeing. • violates the terms of this Agreement;

impersonate or falsely state or misrepresent an affiliation with any person or organization; use Yalla Kuwait – Kuwait Local Guide Directory or any information contained on Yalla Kuwait – Kuwait Local Guide Directory in connection with any surveys, contests, pyramid schemes, chain letters, junk email, spamming, or any other similar activity;

  • violate any applicable law, regulation, standard, or relevant industry code;
  • sell, resell, reproduce, duplicate, trade, or exploit for any commercial purpose any portion of, use of, access to, or data on Yalla Kuwait – Kuwait Local Guide Directory that is not part of Your Business Profile;

• You accept and agree that DTS has total editorial control over the Yalla Kuwait – Kuwait Local Guide Directory and that DTS may, at its sole discretion and without prior notice to You:
  • Any material posted on the Yalla Kuwait – Kuwait Local Guide Directory or in the Database, including (without limitation) any material contained in any Business Listing, may be rejected, removed, deleted, or amended at any time.
  • Any Content may be rejected, refused, removed, deleted, or amended at any time;
  • Content and/or any Business Profile may be positioned as it sees fit.

• If You have breached, or we believe You may breach, this Agreement, or for any other reason that DTS, in its sole discretion, sees fit, DTS may terminate this Agreement, remove Your Business Listing or any Content posted by You, and/or refuse You access to the Yalla Kuwait – Kuwait Local Guide Directory.
• You understand and accept that certain Business Listings on the Yalla Kuwait – Kuwait Local Guide Directory have been paid for by a company and will appear before free Business Listings in the relevant search results.

2- Business Listing and Reviews

• You may use the Yalla Kuwait – Kuwait Local Guide Directory to add, edit, or update a Business Listing or a Review solely in accordance with the terms and circumstances of this Agreement.
• All Content must be complete and correct;
  • provided in the manner and format described on the Yalla Kuwait – Kuwait Local Guide Directory;
  • not be of a kind that would bring the Yalla Kuwait – Kuwait Local Guide Directory into discredit;
  • and adhere to all applicable laws, rules, standards, and industry codes.
• You must not do so.
  • use the Yalla Kuwait – Kuwait Local Guide Directory to post Content for a business that is not based in Kuwait;
  • use the Yalla Kuwait – Kuwait Local Guide Directory to add or amend a Business Listing without the express permission of that business;
  • upload, post, transmit, publish, or otherwise make available any Accessible Content that You do not have a right to make available under any law, regulation, or agreement.
  • infringe on others’ intellectual property rights;
  • or break a law, including, but not limited to, any statute prohibiting the promotion of a profession.
• If any of the information in Your Business’s Business Listing changes, becomes out of current, or ceases to comply with this Agreement, You must:
  • immediately update Your Business Listing to comply with this Agreement, and/or
  • Notify Yalla Kuwait – Kuwait Local Guide Directory.
• You acknowledge and agree that by posting Content on Yalla Kuwait – Kuwait Local Guide Directory, you consent to being contacted (on an ongoing basis) via any of the contact details contained in that Content, including (without limitation) receiving information about products or services from Yalla Kuwait – Kuwait Local Guide Directory that we believe may be of interest to You. 

3- Intellectual Property Rights

• DTS owns and operates the Yalla Kuwait – Kuwait Local Guide Directory and database. You acknowledge and agree that DTS or our licensors own all intellectual property rights in or relating to the Yalla Kuwait – Kuwait Local Guide Directory and the Database, and that nothing in this Agreement constitutes a transfer of those rights.
• You may download and read content from the Yalla Kuwait – Kuwait Local Guide Directory and/or print a copy for your own use only, provided that you do not:

  • make the content public;
  • or use the content in a manner or for a purpose that is forbidden by this Agreement.

You may not replicate any content displayed on Yalla Kuwait – Kuwait Local Guide Directory without our written permission and, if required, payment of a set charge, unless expressly permitted by this Agreement or by law. Requests for content reproduction can be submitted using the Contact Us page.
• We have the right to publish and communicate any Content to the public. You grant us a perpetual, royalty-free, non-exclusive, irrevocable, worldwide, and transferable license to:
  • reproduce, modify, add to, use, copy, publish, communicate, and adapt the Content for any purpose and in any form anywhere in the world, including (but not limited to) the Yalla Kuwait – Kuwait Local Guide Directory and the Database;
• You must waive, and must ensure that all other persons waive, absolutely and irrevocably all moral rights in relation to any Content. For the purposes of this clause, a moral right may be waived by consenting to any act or omission which would otherwise constitute an infringement of that moral right.
• For the avoidance of doubt, You acknowledge and agree that:
  • We will allow Yalla Kuwait – Kuwait Local Guide Directory users to search Content You have posted;
  • and You will do everything necessary (including, without limitation, execution of any documents) to give DTS the full benefit of the licenses.
• The License will remain in effect even if this Agreement is terminated.
• The terms and conditions of use of some Third Party Content (including, without limitation, third party websites linked to Yalla Kuwait – Kuwait Local Guide Directory) may apply to you. Nothing in this Agreement (or elsewhere on the Yalla Kuwait – Kuwait Local Guide Directory) grants You a license or permission to use any of the content.

4- Privacy

• DTS will handle any personal information it collects in accordance with the Yalla Kuwait – Kuwait Local Guide Directory Privacy Policy.
• You consent to the use of any personal information obtained about you (including, without limitation, any personal information contained in Content) in line with the Yalla Kuwait – Kuwait Local Guide Directory Privacy Policy (and must ensure that any applicable third party consents). If any personal information about a person is included in any Content, You must:
  • prior to giving us with that personal information, give that person with a copy of the Kuwait Business Directory Website Privacy Policy; and,
  • where possible, have that person provide us with that personal information directly.

5- Warranties

To DTS, you represent and warrant that:

• You have complete authority to publish all Content and to authorize DTS to publish it (including, without limitation, having full authority from every business whose Business Profile you add, alter, or update);

• Any intellectual property right, moral right, right of confidence, or other right of any person will not be infringed upon by the posting of Accessible Content in compliance with this Agreement at any time;
• You have the authority to issue the license.
• All Accessible Content will adhere to all applicable laws, regulations, and appropriate industry codes at all times.
• All products and services described in Accessible Content will correspond to the advertised description and will be available in the manner, at the price, and for the time period specified.
• The Accessible Content does not infringe on any intellectual property right, moral right, right of confidence, or other right of any person, and will not do so in the future.
• All persons whose personal information is included in the Content have given you their agreement to:
  • DTS’s gathering of that personally identifiable information; and
  • the Yalla Kuwait – Kuwait Local Guide Directory Privacy Policy governs the use and distribution of the personal information;
• All Accessible Content will be up to date and accurate, and will not confuse or mislead end users of the Yalla Kuwait – Kuwait Local Guide Directory; and
• each website represented by any URL shown or included in Your Business’s Business Listing:
  • is managed and controlled by Your company or an independent contractor;
  • will always be useful and accessible; and
  • is suitable to be linked to Yalla Kuwait – Kuwait Local Guide Directory in every way, including (but not limited to) subject matter.

6- Liability

• DTS has no control over Third Party Content, and Your use of Yalla Kuwait – Kuwait Local Guide Directory (including, without limitation, all material accessed through or linked to Yalla Kuwait – Kuwait Local Guide Directory) is at your own risk. Nothing on the Yalla Kuwait – Kuwait Local Guide Directory should be construed as financial or other professional advice. Before acting on the basis of any information on the Yalla Kuwait – Kuwait Local Guide Directory, you should seek experienced professional advice.
• To the fullest extent permitted by law, DTS disclaims all liability to You for any damages or loss (including, without limitation, lost profits, indirect or consequential loss) suffered by You, however caused (including, without limitation, damage or loss arising in contract, tort (including, without limitation, negligence), statute, or otherwise).

• Certain laws may imply guarantees, conditions, or duties that cannot be omitted, limited, or modified except in certain circumstances. The statutory provisions must be considered when reading this Agreement. If certain statutory provisions apply, DTS restricts its liability in respect of any claim under those provisions, notwithstanding any other term in this Agreement, to the extent that DTS is authorized to do so:
  • the provision of services once more; or
  • reimbursing the cost of having the services provided again.
• You agree to hold DTS and its employees blameless from and against any liability, loss, damage, costs and expenses (including, without limitation, full indemnity legal expenses) and penalties incurred or suffered by any of them as a result of:
  • Your breach of this Agreement, which may include (but is not limited to) a warranty;
  • any act of fraud or intentional misconduct committed by or on Your behalf; and
  • claims brought by any third party relating to defamation, negligent misstatement, injurious falsehood, contempt of court, rights of publicity and/or privacy, copyright infringement, trade mark infringement, other intellectual property infringement, passing off, misleading or deceiving the public, or any act or omission in relation to the Accessible Content, including, without limitation, claims brought by any third party relating to defamation, negligent misstatement, injurious falsehood, contempt

7- General

• We may send you notices through email, regular mail, or by putting items on the Yalla Kuwait – Kuwait Local Guide Directory.
• Each time you use the Yalla Kuwait – Kuwait Local Guide Directory, you should carefully read and agree to this Agreement. While DTS expects that this Agreement will not need to be changed in the future, it is possible that revisions will be necessary. By using the Yalla Kuwait – Kuwait Local Guide Directory (including, without limitation, by posting any Content), you agree to be bound by the terms of the most recent version of this Agreement.
• DTS may assign this Agreement as long as the assignee agrees to fulfill all of DTS’s duties under it. Subject to the foregoing, neither party may assign the entire or any part of this Agreement.
• The following are the indemnities included in this Agreement:
  • Separate and apart from any other responsibilities, the parties’ continuing obligations will survive the termination of this Agreement; and
  • absolute and unconditional, and unaffected by anything that could jeopardize, release, discharge, or otherwise impact the liability of the party providing the indemnity.

8- Acceptable Use Policy

Yalla Kuwait – Kuwait Local Guide Directory adheres to PayPal’s acceptable usage policy.

9- Definitions

In this Agreement:

All text, images, icons, pictures, URLs, and Reviews provided by You on the Yalla Kuwait – Kuwait Local Guide Directory are referred to as “Content.”

All Content and related content on sites to which URLs in Your Content are connected is referred to as accessible content.

A business listing is a profile of a company in the database. A Business Profile may include information about the profiled company, such as contact information.

Database refers to the national database of business profiles compiled by DTS and made available to the public through the Yalla Kuwait – Kuwait Local Guide Directory online business directory.

A review or other comment you submit to the Yalla Kuwait – Kuwait Local Guide Directory in respect to any Business Profile or linked products and services is referred to as a review.
